Article 1 (Purpose)
These Terms govern the rights, obligations and responsibilities between widecore Corp.(the “Company”) and its members in connection with the use of the desktop application and related web services that the Company provides under the name Autopli (the “Service”).
Article 2 (Definitions)
A “Member” is a person who agrees to these Terms, signs up for the Service with a Google account and uses the Service. “Usage Restriction” means a warning, a restriction of certain features, a temporary suspension or a termination of the usage agreement that the Company imposes on a Member under Article 11. Terms not defined in these Terms follow applicable laws and regulations and general commercial practice.
Article 3 (Posting and Amendment of the Terms)
The Company posts these Terms on the Service screens so that Members can easily review them. The Company may amend these Terms to the extent that doing so does not violate applicable laws and, when it does, will state the effective date and the reason for the amendment and announce it at least 7 days before the effective date. However, if an amendment is unfavorable to Members, the Company will announce it at least 30 days before the effective date and separately notify Members by the email address registered at sign-up or similar means.
If the Company announces an amended version together with a statement that Members who do not express an objection by the effective date will be deemed to have agreed, and a Member does not express an objection, the Member is deemed to have agreed to the amended Terms. A Member who does not agree to the amended Terms may terminate the usage agreement (withdraw their membership).
Article 4 (Sign-up and Accounts)
Sign-up is done through social login with a Google account and is complete when the Member agrees to these Terms and the Privacy Policy. Members are responsible for managing their own account information and must notify the Company immediately upon learning of any unauthorized use of their account.
Members may withdraw at any time. If a Member withdraws during a paid subscription, automatic payments stop and the remaining usage period ends with them, so a Member who has a payment eligible for a refund must request the refund before withdrawing. Withdrawal deletes the account and the data stored on the Company’s servers, so Members should download any materials they need beforehand. Transaction records that must be retained by law are kept separately in accordance with the Privacy Policy.
Article 5 (Provision and Change of the Service)
The Company provides features such as music production, video merging, subtitle sync and upload automation. The Company may change all or part of the Service as required by the content of the Service or by operational or technical needs and, in that case, will announce the change and its effective date in advance. Temporary or full suspension of the Service is governed by Article 6.
Article 6 (Service Interruption and Response to Outages)
The Company makes efforts to provide a stable Service and may temporarily suspend all or part of the Service in any of the following cases.
- Regular or emergency inspection, replacement or repair of servers, networks, software or other facilities is required
- A technical reason makes it difficult to provide the Service, such as a system failure or the handling of a security incident
- A cause beyond the Company’s control occurs, such as a natural disaster, power outage, communications failure, or an outage, policy change or discontinuation of a third-party service such as Google, YouTube, Suno, an AI provider or a payment gateway
The Company announces scheduled inspections or suspensions in advance through the Service screens or the notices of the customer center. Where advance notice is difficult, such as in an emergency outage, the Company announces the reason and the status of recovery without delay afterwards. The Company makes efforts to restore the Service promptly once it becomes aware of an outage.
The Service uses a desktop app, and features that require a connection to the Company’s servers or to external services, such as login, subscription verification, AI features and YouTube integration, may be limited during an outage. The Company will announce which features are limited and to what extent.
If the Service is continuously interrupted for 24 hours or more due to a cause attributable to the Company, a Member using a paid service may choose and request either an extension of the usage period equal to the interrupted period or a refund of the fee corresponding to that period. The specific application and handling procedure follow the Billing & Refund Policy (Korean). This does not apply to interruptions for which the Company is not responsible, such as an outage of a third-party service.
If the Company intends to discontinue the entire Service, it will announce this at least 30 days before the discontinuation date and give Members a period in which they can download or delete their work and settings. The Company will refund the remaining usage period of any paid service in use.
Members are responsible for backing up their important work and settings themselves. The Company makes efforts to reduce and recover data loss caused by outages, but does not guarantee the recovery of all data.
Article 7 (Integration with Google, YouTube and Other External Services)
The Service may use Google login and the YouTube API Services. When YouTube is connected, the Service can view, upload, edit or delete content for the account and channel the Member selects, and describes the target and the visibility status before actually executing an action. Use of YouTube features is subject to the YouTube Terms of Service and related policies. Where those features are limited because of an outage or policy change of Google or YouTube services, Article 6 applies.
At the Member’s request, the Service may integrate with third-party services such as Suno, sunoapi.org, kie.ai, DistroKid and external AI providers (the “External Services”). External Services are operated by businesses separate from the Company, and the Company is neither their operator nor their seller. Members manage their own sign-up, subscriptions, credits, fees and identity verification for External Services, and unless stated otherwise these are not included in the Company’s fees.
Members must connect only their own accounts for which they have proper authority and must check the terms and automation policies of each External Service themselves. Authentication information that a Member enters into the desktop app for an External Service, such as an API key or a login session, is stored on the Member’s PC and used only for tasks the Member requests; it is not transmitted to or stored on the Company’s servers. Members can delete it at any time in the app settings.
The Company does not guarantee outcomes decided independently by an External Service operator, such as account suspension, rejection of an upload or release, or monetization limits. However, this does not apply to damage arising from reasons for which the Company is responsible, such as the Company’s intent or negligence or a breach of its duty to protect authentication information, or to liability that cannot be excluded under applicable law.
Article 8 (Paid Services and Payment)
The Company offers paid services on a monthly subscription basis. Specific matters such as fees, the scope of provision and payment methods are as described on the pricing and payment screens.
Matters concerning subscriptions, automatic payments, plan changes, cancellation, withdrawal of an offer and refunds are set out in the Billing & Refund Policy (Korean), which forms part of these Terms and applies together with them. The handling of fees in the event of a service interruption (Article 6) or a Usage Restriction (Article 11) is also governed by that policy.
Article 9 (AI Features)
The Service may use AI provided by the Company or the APIs of external AI providers that a Member has connected. AI results are for reference only and are not guaranteed to be accurate, complete, fit for a particular purpose or free of infringement of third-party rights. Members are responsible for reviewing the content they enter and the AI results.
Article 9-2 (Rights in Member Content and Outputs)
Rights in the content that a Member enters or uploads into the Service and in the outputs the Member creates using the Service belong to the Member or the rightful owner, and the Company does not own them. The Company processes them only to the extent necessary to provide the Service, respond to errors and handle Member requests, and does not use them for advertising or for training AI models without the Member’s separate consent.
The terms of use of, and whether commercial use is permitted for, outputs created through an External Service follow the terms of that External Service. Because it may be uncertain whether AI outputs are protected by copyright under applicable law, Members must check the necessary rights themselves before publishing, distributing or commercially using them.
Article 10 (Obligations of Members)
Members must comply with applicable laws and the provisions of these Terms, and are responsible for ensuring that content they create using the Service does not infringe the copyright or other rights of third parties. Members must not do any of the following.
- Using another person’s account or payment method without authorization, or sharing, transferring or reselling an account
- Reverse engineering the Service, or abusing automation features in a way that violates the terms of other services such as Google, YouTube or Suno
- Making excessive requests that affect the stability of the Service, or fraudulently obtaining or repeatedly abusing credits, free trials or discounts
- Disrupting payment order, such as fraudulent payments or requesting payment cancellations or refunds on false grounds
- Creating or uploading content that infringes the copyright or other rights of third parties or that contains illegal information
- Circumventing security features or interfering with the operation of the Service
- Any other act that violates applicable laws or these Terms
Article 11 (Usage Restrictions and Account Suspension)
If the Company confirms that a Member has violated Article 10, or there is a risk of serious harm to the Service, other Members or third parties, the Company may impose Usage Restrictions in the order of a warning, a restriction of certain features, a temporary suspension and termination of the usage agreement, depending on the severity of the violation. However, where there is a serious reason such as illegal activity, payment fraud or a security threat, the Company may suspend the account or terminate the usage agreement immediately without going through these steps.
Before imposing a Usage Restriction, the Company notifies the Member of the reason, the action and its duration, and how to object, using the contact details the Member registered, such as email. Where urgent action is needed, the Company acts first and notifies the Member without delay afterwards.
A Member who objects to a Usage Restriction may submit an explanation to contact@autopli.ai, and the Company will notify the result of its review within 7 days of receipt. If the explanation is found to be reasonable, the Company will lift the Usage Restriction immediately.
Even during a Usage Restriction, a Member may withdraw, request access to or deletion of personal information, and disconnect YouTube. Where a Usage Restriction results from a cause attributable to the Member, a refund of fees for the remaining usage period may be limited to the extent permitted by applicable law, and withdrawal of an offer follows the Billing & Refund Policy (Korean).
Article 12 (Limitation of Liability)
The Company compensates a Member for damage caused by the Company’s intent or negligence in accordance with applicable law. To the extent permitted by applicable law, the Company is not liable for damage caused by reasons beyond its control, such as natural disasters, causes attributable to the Member, or independent outages or policy changes of third-party services. However, liability that cannot be excluded under applicable law is not limited by this Article.
Article 13 (Dispute Resolution)
The Company handles Members’ complaints and inquiries in good faith. Disputes relating to these Terms are governed by applicable law and the laws of the Republic of Korea. Disputes that cannot be resolved by agreement may be brought before the court with jurisdiction under applicable law, such as the Civil Procedure Act.
Article 14 (Contact)
Please direct any questions about these Terms to contact@autopli.ai.
